About Vector Flow

Vector Flow ("we," "us," or "our") is an AI technology company operating the website vectorflowsoft.com. We provide enterprise AI software, machine learning services, SaaS platforms, data analytics, consulting, and related professional services — based in India and serving clients globally.

These Terms & Conditions ("Terms") form a legally binding agreement between you ("User," "Client," or "you") and Vector Flow. By accessing our website, creating an account, purchasing a product, or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Who May Use Our Services

To use Vector Flow's services, you must:

• Age: Be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater
• Legal Capacity: Have the legal authority to enter into a binding contract on behalf of yourself or your organisation
• Jurisdictional Compliance: Not be prohibited from receiving our services under applicable Indian law, US sanctions (OFAC), EU restrictive measures, or other international regulatory frameworks
• Accurate Information: Provide truthful, current, and complete information when registering or purchasing
• No Prior Termination: Not have previously had your Vector Flow account suspended or terminated for breach of these Terms

Accounts & Registration

Certain features and all purchases require account registration. You are responsible for:

• Accuracy: Providing and maintaining truthful, complete, and current registration details
• Confidentiality: Maintaining the security of your account credentials — do not share your password
• Account Activity: All activity under your account, whether or not authorised by you
• Breach Notification: Contacting us immediately at support@vectorflowsoft.com if you suspect unauthorised access
• Single Account: Creating only one account per person or organisation — multiple accounts to circumvent restrictions are prohibited

Services & Deliverables

Scope of Services

Vector Flow provides AI and technology services including: custom AI model development, data analytics, machine learning model training and deployment, API integration, SaaS platform access, managed AI operations, and professional consulting.

Project Engagements

For custom development and consulting projects, the scope, deliverables, timelines, pricing, and acceptance criteria are defined in a Statement of Work (SOW) or Service Agreement executed between the parties. In the event of conflict between an SOW and these Terms, the SOW shall prevail.

SaaS & Platform Services

Access to Vector Flow's SaaS platforms and APIs is subject to the documentation, usage limits, and acceptable use policies specific to each product, which are incorporated into these Terms by reference.

AI Output Disclaimer

Permitted & Prohibited Use

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our website and services in accordance with these Terms.

Violation of these restrictions may result in immediate account suspension, termination, and legal proceedings without prior notice.

Orders, Pricing & Payment

Pricing

All prices are displayed in Indian Rupees (INR) unless otherwise stated. International clients may be offered pricing in USD, GBP, EUR, or other currencies at checkout. Prices are subject to change without notice; the price applicable to your order is that displayed at the time of your order confirmation.

Order Acceptance

A binding contract is formed upon our written Order Confirmation or payment receipt. We reserve the right to refuse any order — including for pricing errors or suspected fraud — with a full refund where payment has already been made.

Payment Methods

We accept all major payment methods available through our authorised payment partners, including:

• Credit and debit cards (Visa, Mastercard, American Express, RuPay)
• Net banking and UPI (for Indian clients)
• NEFT / RTGS / wire transfer
• PayPal, Stripe, and international payment gateways
• Purchase orders (for approved enterprise clients with credit terms)

Vector Flow does not store full payment card numbers. All card transactions are processed by our PCI-DSS-compliant payment partners.

Taxes & GST

For Indian clients, Goods and Services Tax (GST) is applicable on all services as per current Indian tax law and is displayed at checkout. International clients are responsible for any applicable VAT, withholding tax, or import duties in their jurisdiction.

Subscriptions & Billing

• Auto-Renewal: Subscription plans automatically renew at the end of each billing cycle (monthly or annual) unless cancelled before the renewal date
• Billing Date: You will be billed on the same date each month or year as your original subscription start date
• Price Changes: We will provide at least 30 days' advance written notice of any subscription price increase. Continued use after the effective date constitutes acceptance
• Failed Payments: If a recurring payment fails, we will retry up to 3 times over 7 days. If payment remains unsuccessful, your account may be suspended. We will notify you by email
• Cancellation: You may cancel at any time via your account dashboard or by emailing support@vectorflowsoft.com. Access continues to the end of the current billing period
• Free Trials: You will not be charged until the trial period ends. Cancelling before the trial ends prevents any charge. Trial abuse — including creating multiple accounts to obtain repeated trials — may result in permanent account termination
• Annual Plans: Cancellation within the first 30 days entitles you to a prorated refund for unused complete months. After 30 days, no refund is issued for the remaining term, but cancellation prevents future renewal

Intellectual Property

All intellectual property rights in Vector Flow's website, AI models, algorithms, software, platform, documentation, brand assets, trademarks, and proprietary methodologies are owned by or licensed to Vector Flow.

Unauthorised use of Vector Flow's intellectual property may result in injunctive relief and damages claims under Indian and international IP law.

Data & Confidentiality

Client Data

You retain ownership of all data, datasets, and information you provide to Vector Flow ("Client Data"). You grant Vector Flow a limited, non-exclusive, revocable licence to process Client Data solely for the purpose of delivering the agreed services.

Confidentiality

Each party may share confidential information with the other. The receiving party agrees to: (i) keep it strictly confidential; (ii) not disclose it to third parties without prior written consent; (iii) use it solely for the purposes of these Terms; and (iv) apply at least the same level of care used to protect its own confidential information. Confidentiality obligations survive termination for 5 years.

Data Processing

Where Vector Flow processes personal data on your behalf, we act as a Data Processor under applicable data protection law, including India's Digital Personal Data Protection Act, 2023 (DPDPA) and, for EU/UK data subjects, the GDPR. A Data Processing Agreement (DPA) is available upon request for enterprise clients.

Warranties & Disclaimers

Our Warranties

Vector Flow warrants that: (i) we have the right and authority to enter into these Terms; (ii) our services will be performed with reasonable skill and care; and (iii) we will comply with applicable Indian data protection and privacy laws.

Disclaimer of Warranties

Except as expressly stated above, Vector Flow's services are provided "AS IS" and "AS AVAILABLE" without any warranty, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by applicable law, Vector Flow and its directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, business opportunities, or goodwill.

Vector Flow's total aggregate liability to you for all claims arising out of or relating to these Terms or our services shall not exceed the greater of: (a) the total fees paid by you to Vector Flow in the 12 months immediately preceding the claim; or (b) ₹10,000 INR.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any matter that cannot be excluded by law. Some jurisdictions do not allow the exclusion of consequential damages — in those jurisdictions our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Vector Flow and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:

• Your violation of these Terms or any applicable law
• Your use or misuse of our website, products, or services
• Any data or content you submit through our platform
• Your infringement of any third-party intellectual property or other rights
• Any dispute between you and a third party arising from your use of our services

Termination

Termination by You

You may terminate your account or subscription at any time in accordance with the cancellation provisions in Section 07. Termination does not entitle you to a refund except as specified in our Refund Policy.

Termination by Vector Flow

We may suspend or terminate your account immediately, without prior notice, if you: (i) breach these Terms; (ii) engage in fraudulent, abusive, or unlawful conduct; (iii) fail to pay fees when due; or (iv) become insolvent or subject to insolvency proceedings.

Effect of Termination

Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination — including IP ownership, confidentiality, limitation of liability, indemnification, and dispute resolution — shall continue in full force.

Dispute Resolution & Arbitration

Informal Resolution First

Before initiating any formal proceeding, both parties agree to attempt in good faith to resolve any dispute by contacting us at legal@vectorflowsoft.com with a written description of the issue. We will respond within 14 days and attempt resolution within 30 days of your notice.

Binding Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 (India), as amended:

• Arbitral Institution: Indian Council of Arbitration (ICA) or DIAC, as mutually agreed
• Number of Arbitrators: One (1) sole arbitrator, mutually appointed
• Seat of Arbitration: Bengaluru, Karnataka, India
• Language: English
• Governing Law: Laws of India

Class Action Waiver

All disputes shall be resolved on an individual basis only. Neither party may participate as a plaintiff or class member in any class, consolidated, or representative proceeding.

Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of laws provisions.

For any matter not subject to arbitration, the parties submit to the exclusive jurisdiction of the courts located at Bengaluru, Karnataka, India.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

Changes to These Terms

Vector Flow may modify these Terms at any time. For material changes:

• The "Effective" date at the top of this page will be updated
• Registered account holders will be emailed at least 14 days before changes take effect
• A prominent notice will appear on our website for 30 days following material updates

Continued use of our services after the effective date constitutes acceptance of the revised Terms.

General Provisions

• Entire Agreement: These Terms, together with any executed SOW, DPA, and our Privacy Policy, constitute the entire agreement between the parties and supersede all prior agreements
• Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force
• Waiver: Our failure to enforce any right or provision is not a waiver of that right
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets
• Notices: All legal notices to Vector Flow must be sent to legal@vectorflowsoft.com
• Language: These Terms are in English. In any conflict between translations, the English version prevails
